These Terms & Conditions govern all quotes, purchase orders, services, sourcing activities, fabrication coordination, technical reviews, and related business activities performed by EuroLine Emergency Engineering LLC (“EuroLine,” “Company,” “we,” “our,” or “us”) for customers (“Customer,” “Client,” “you,” or “your”).

By requesting a quote, approving a quote, issuing a purchase order, submitting payment, authorizing work, or accepting delivery of products or services, the Customer agrees to these Terms & Conditions.

1. Scope of Services

EuroLine Emergency Engineering provides industrial sourcing, fabrication coordination, supplier coordination, technical review, expedited part support, and logistics coordination for manufacturing-related component needs.

Services may include, but are not limited to:

  • Emergency replacement part sourcing

  • Custom fabrication coordination

  • CNC machining coordination

  • Welding and fabrication sourcing

  • Reverse-engineered component support

  • European machine component sourcing

  • Rush supplier coordination

  • Interim industrial part solutions

  • Logistics and delivery coordination

  • Technical review of customer-provided drawings, photos, samples, or specifications

EuroLine acts as a sourcing, coordination, and project management partner. Unless specifically agreed in writing, EuroLine does not act as the original equipment manufacturer, machine repair provider, installation contractor, or safety certification provider.

2. Customer-Provided Information

Customer is responsible for providing accurate and complete information required to evaluate, quote, source, fabricate, or coordinate the requested part or service.

Customer-provided information may include:

  • Drawings

  • Photos

  • Samples

  • Measurements

  • Material requirements

  • Tolerances

  • Surface finish requirements

  • Machine information

  • OEM part numbers

  • Application details

  • Urgency level

  • Quantity requirements

  • Required delivery date

  • Quality or inspection requirements

EuroLine may rely on information provided by the Customer. EuroLine is not responsible for errors, omissions, inaccuracies, outdated drawings, worn samples, incomplete specifications, or assumptions made from insufficient information.

If required information is missing, EuroLine may request clarification. Any delay in receiving required information may affect pricing, lead time, feasibility, or delivery.

3. Free Remote Feasibility Review

EuroLine may offer a limited free remote feasibility review when a request can be reasonably reviewed by phone, email, photo, drawing, or basic part information.

The free remote feasibility review is limited to a general initial assessment and does not include:

  • Detailed engineering analysis

  • CAD modeling

  • Reverse engineering

  • Supplier RFQs

  • Formal drawings

  • On-site inspection

  • Measurements

  • Design validation

  • Safety review

  • Warranty of fit or performance

  • Formal quote preparation beyond initial feasibility

If the request requires detailed technical work, supplier involvement, on-site assessment, reverse engineering, or extended review, EuroLine may require a paid technical review or site visit before proceeding.

4. Quotes

All quotes are based on the information available at the time of quotation.

Quotes may include:

  • Part cost

  • Supplier cost

  • Fabrication coordination fee

  • Sourcing fee

  • Rush fee

  • Logistics cost

  • Freight cost

  • Technical review fee

  • On-site assessment fee

  • Applicable taxes or additional charges

Unless otherwise stated, quotes are valid for [7 / 14 / 30] days from the date issued.

Quotes may change if:

  • Customer changes requirements

  • Drawings or specifications are updated

  • Supplier pricing changes

  • Material availability changes

  • Rush timing changes

  • Freight costs change

  • Additional work is required

  • Information provided by the Customer is incomplete or incorrect

EuroLine is not obligated to begin work until the quote is approved in writing and any required deposit or payment has been received.

5. Customer Approval

Customer approval may be provided by:

  • Signed quote

  • Email approval

  • Purchase order

  • Written authorization

  • Payment of deposit

  • Payment in full

  • Other written confirmation accepted by EuroLine

Once the Customer approves a quote, EuroLine may begin sourcing, supplier coordination, fabrication coordination, purchasing, freight booking, or other work related to the order.

Customer approval confirms that the Customer has reviewed the scope, pricing, lead time, assumptions, exclusions, and applicable terms.

6. Payment Terms

Payment terms are determined by EuroLine and may vary by customer, project type, urgency, and risk.

Unless otherwise agreed in writing, EuroLine may require:

  • 100% upfront payment for new customers

  • 50–100% deposit for custom parts

  • 100% upfront payment for rush or emergency orders

  • 100% upfront payment for non-cancelable supplier orders

  • Payment before release of completed parts

  • Net 7, Net 15, or Net 30 only for approved customers

EuroLine may suspend work, delay delivery, or withhold release of parts if payment is not received according to agreed terms.

Customer is responsible for all approved costs, including supplier charges, material costs, fabrication costs, engineering review fees, rush fees, freight charges, taxes, and other agreed expenses.

7. Deposits and Non-Cancelable Orders

Custom parts, special-order components, emergency orders, imported items, rush work, and supplier-committed orders may be non-cancelable once approved.

If Customer cancels an order after approval, Customer remains responsible for all costs incurred by EuroLine, including but not limited to:

  • Supplier charges

  • Material purchases

  • Labor charges

  • Engineering or review time

  • Rush fees

  • Freight charges

  • Administrative costs

  • Cancellation fees

  • Non-refundable deposits

Deposits may be non-refundable once EuroLine or its suppliers have started work or committed resources.

8. Supplier and Third-Party Work

EuroLine may coordinate with third-party suppliers, including machine shops, fabrication shops, industrial distributors, freight carriers, heat treatment providers, coating providers, European suppliers, and other vendors.

Customer acknowledges that certain products or services may be manufactured, supplied, processed, transported, or completed by third-party vendors.

EuroLine will make reasonable efforts to select capable suppliers, but EuroLine does not control every aspect of third-party supplier operations, including supplier staffing, equipment availability, production schedule, quality systems, material availability, or freight performance.

Supplier lead times are estimates unless expressly guaranteed in writing by EuroLine.

9. Rush and Emergency Orders

Rush and emergency orders may require expedited supplier review, overtime, schedule changes, special freight, after-hours coordination, or premium pricing.

Rush fees may apply when Customer requests:

  • Same-day quote review

  • 24–72 hour turnaround

  • Expedited fabrication

  • After-hours support

  • Weekend work

  • Emergency freight

  • Priority supplier coordination

EuroLine will make reasonable efforts to meet requested urgency, but rush work does not guarantee completion by a specific time unless explicitly agreed in writing.

Customer acknowledges that rush orders may carry increased risk due to compressed timing, limited information, supplier constraints, or reduced opportunity for review.

10. On-Site Assessments

If EuroLine performs an on-site assessment, the assessment is limited to the agreed purpose of reviewing the requested part, component, sourcing need, or fabrication opportunity.

Unless specifically agreed in writing, on-site assessments do not include:

  • Machine repair

  • Equipment troubleshooting

  • Electrical diagnostics

  • PLC programming

  • Installation

  • Safety certification

  • Lockout/tagout responsibility

  • Machine guarding review

  • Production process validation

Customer is responsible for providing safe access, accurate information, and any required site-specific safety instructions.

EuroLine reserves the right to decline or stop on-site activity if conditions appear unsafe, unclear, outside the agreed scope, or beyond EuroLine’s intended service offering.

11. No Installation or Machine Safety Responsibility

EuroLine does not install parts unless specifically agreed in writing under a separate agreement.

Customer is solely responsible for:

  • Final inspection

  • Installation

  • Machine setup

  • Machine safety

  • Lockout/tagout

  • Operator safety

  • Functional validation

  • Production approval

  • Compliance with applicable regulations

  • Determining whether the part is suitable for the intended use

Customer should use qualified internal personnel, OEM representatives, maintenance technicians, engineers, or licensed contractors as appropriate.

EuroLine does not certify machine safety, equipment compliance, or production readiness.

12. Fit, Function, and Suitability

Parts may be sourced or fabricated based on Customer-provided drawings, samples, specifications, photos, measurements, or instructions.

Customer is responsible for verifying that the part is suitable for its intended application before installation or use.

Unless explicitly stated in writing, EuroLine does not guarantee:

  • Exact OEM equivalency

  • Fit in all conditions

  • Performance under load

  • Machine compatibility

  • Material suitability for unknown operating conditions

  • Wear life

  • Production output

  • Safety performance

  • Regulatory compliance

  • Machine uptime

If a part is manufactured to Customer-provided information, Customer remains responsible for the correctness and completeness of that information.

13. Interim or Temporary Solutions

EuroLine may assist with interim, temporary, or modified solutions intended to support production while an OEM or permanent solution is pending.

Customer acknowledges that interim solutions may not be equivalent to OEM parts and may have limitations related to material, wear life, strength, precision, speed, load, temperature, chemical exposure, or operating conditions.

Interim solutions should be reviewed, installed, monitored, and approved by the Customer’s qualified personnel before use.

Customer assumes responsibility for deciding whether an interim solution is acceptable for operation.

14. Inspection and Acceptance

Customer should inspect all parts and services upon receipt.

Unless otherwise stated in writing, Customer must notify EuroLine of any visible issue, damage, nonconformance, or concern within [5] business days after delivery.

If Customer uses, installs, modifies, or places the part into service, the part may be considered accepted.

Claims for defects, damage, or nonconformance must include reasonable supporting information, such as photos, measurements, inspection findings, or written explanation.

15. Returns

Custom-manufactured parts, modified components, special-order items, imported items, rush orders, and non-stock items are generally non-returnable and non-refundable.

Returns may only be accepted with prior written approval from EuroLine.

Approved returns may be subject to:

  • Restocking fees

  • Supplier return restrictions

  • Freight costs

  • Inspection charges

  • Non-refundable supplier costs

EuroLine is not required to accept returns for parts manufactured or supplied according to Customer-approved information.

16. Warranty

Unless otherwise stated in writing, EuroLine provides no independent warranty beyond any warranty provided by the applicable supplier or manufacturer.

Supplier or manufacturer warranties, if available, may be passed through to the Customer to the extent permitted by the supplier or manufacturer.

EuroLine does not warrant that any part or service will:

  • Prevent downtime

  • Restore production

  • Meet all operating conditions

  • Perform identically to an OEM component

  • Achieve a specific wear life

  • Eliminate future failures

  • Be suitable for an unknown or undisclosed application

All implied warranties, including implied warranties of merchantability and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.

17. Limitation of Liability

To the fullest extent permitted by law, EuroLine’s total liability for any claim related to a quote, order, product, service, delay, error, supplier issue, or other business activity shall not exceed the amount paid by Customer to EuroLine for the specific product or service giving rise to the claim.

EuroLine shall not be liable for:

  • Lost profits

  • Lost revenue

  • Lost production

  • Production downtime

  • Machine downtime

  • Loss of business opportunity

  • Equipment damage

  • Labor costs

  • Line shutdown costs

  • Customer penalties

  • Indirect damages

  • Incidental damages

  • Special damages

  • Consequential damages

  • Punitive damages

  • Delay damages

This limitation applies regardless of whether the claim is based on contract, negligence, warranty, strict liability, or any other legal theory.

18. Delays and Force Majeure

EuroLine is not responsible for delays caused by circumstances outside its reasonable control, including but not limited to:

  • Supplier delays

  • Material shortages

  • Freight delays

  • Customs delays

  • Weather events

  • Power outages

  • Equipment breakdown at supplier facilities

  • Labor shortages

  • Government actions

  • Natural disasters

  • Cyber incidents

  • Customer approval delays

  • Incomplete customer information

  • Events beyond reasonable control

EuroLine will make reasonable efforts to communicate known delays and adjust plans where possible.

19. Changes to Scope

Any change to drawings, materials, quantities, tolerances, urgency, delivery location, inspection requirements, or other project requirements may result in changes to price, lead time, feasibility, or supplier selection.

EuroLine may require written approval of a revised quote or change order before continuing work.

20. Customer Responsibilities

Customer is responsible for:

  • Providing accurate information

  • Reviewing and approving quotes

  • Confirming technical requirements

  • Providing drawings or samples when needed

  • Approving assumptions

  • Inspecting delivered parts

  • Installing parts safely

  • Validating machine operation

  • Ensuring regulatory compliance

  • Paying according to agreed terms

  • Communicating urgency and production impact honestly

Customer agrees not to rely on EuroLine as a substitute for OEM instructions, internal engineering review, machine safety review, or qualified installation services.

21. Confidentiality

EuroLine will make reasonable efforts to protect Customer drawings, photos, samples, specifications, pricing, and project information.

Customer acknowledges that EuroLine may share necessary project information with suppliers, vendors, freight carriers, or service providers as needed to quote, source, fabricate, inspect, transport, or complete the requested work.

If a separate non-disclosure agreement is required, Customer should notify EuroLine before submitting confidential or proprietary information.

22. Intellectual Property

Customer retains ownership of drawings, designs, specifications, samples, and proprietary information provided by Customer.

EuroLine retains ownership of its internal processes, supplier network, quote structures, templates, documentation, pricing methods, and business methods.

Unless otherwise agreed in writing, no transfer of intellectual property rights occurs through a quote, order, or service engagement.

23. Non-Solicitation of Suppliers

Customer agrees not to bypass EuroLine by directly soliciting or engaging suppliers introduced by EuroLine for the same or substantially related project, part, or opportunity without EuroLine’s written consent.

This section is intended to protect EuroLine’s supplier network, coordination work, and business relationships.

24. Taxes, Freight, and Additional Charges

Customer is responsible for applicable taxes, shipping, freight, customs duties, import fees, packaging charges, courier fees, expedited delivery fees, and other charges related to the order unless otherwise stated in writing.

Freight and delivery dates are estimates unless expressly guaranteed in writing.

Risk of loss may transfer to Customer upon delivery to carrier, delivery to Customer, or as otherwise stated in the quote.

25. Website Information

Information provided on EuroLine’s website is for general business information only.

Website content does not constitute:

  • Engineering certification

  • Machine safety advice

  • Installation instruction

  • Repair instruction

  • Warranty

  • Formal quote

  • Professional engineering opinion

Formal work is subject to written quotes, project-specific assumptions, and these Terms & Conditions.

26. Refusal of Work

EuroLine reserves the right to decline any request, quote, project, or order for any reason, including but not limited to:

  • Safety concerns

  • Incomplete information

  • Unclear application

  • Excessive liability risk

  • Unrealistic timing

  • Lack of supplier availability

  • Payment concerns

  • Customer conduct

  • Work outside EuroLine’s intended scope

27. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Georgia, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms & Conditions, quotes, orders, products, or services shall be handled in the appropriate courts located in Georgia, unless otherwise agreed in writing.

28. Entire Agreement

These Terms & Conditions, together with any applicable quote, purchase order, written agreement, invoice, or change order, represent the agreement between EuroLine and Customer regarding the applicable work.

If there is a conflict between these Terms & Conditions and a specific written agreement signed by EuroLine, the signed written agreement shall control only for that specific matter.

29. Updates to Terms

EuroLine may update these Terms & Conditions from time to time. The version in effect at the time of quote approval, purchase order, payment, or authorization of work shall apply to the applicable transaction.
